I am just throwing this out as a test, but how will we handle the covenants referring to the TCC -as well as the 20 lots issue? The convenant change happens prior to TNIBD takeover, that will change in future. Add in the issue of places in covenants where it says the TCC must approve and at some point, the TCC won't exist. Stir in the issue of the 20 lots....

TCC will need to vote by notarial act according to Edmond. I am assuming we will need to provide TCC BOD & stockholders with the changes in our Charter & restrictions so they can vote, right? When TNIBD purchases TCC, do we need to include language in the restrictions that address change in ownership of TCC? Edmond had a problem with Timberlane, Inc in the our current restrictions as this corporation was dissolved Oct. 1964. For future votes, is the dissolution of a corporation enough? A question for Edmond?
